بعد الاطلاع علي نص المـادة (151) من الدستور ؛
وبعد موافقة مجلس الوزراء ؛
قـــــــرر :
مقدمة
مذكـرة تفـاهم
إنه في يوم الخميس الموافق 7 مايو 2020 تم إبرام مذكرة التفاهم هذه (يشار إليها
بـ"مذكرة التفاهم") بين كل من :
1 - حكومة جمهورية مصر العربية ، ويمثلها في مذكرة التفاهم هذه د. كاميليا صبحي
بصفتها رئيس قطاع العلاقات الثقافية والبعثات (وكيل أول وزارة) بوزارة التعليم
العالي .
يشار إليها فيما بعد بـ"الحكومة المصرية"
2 - مجلس أمناء الجامعة الأمريكية بالقاهرة ، ويمثلها في التوقيع علي هذا العقد
ريتشارد أ. بارتلت بصفته رئيس مجلس الأمناء .
يشار إليها فيما بعد بـ"الجامعة"
يشار إليهما مجتمعين بـ"الطرفين"
تمهيد
حيث إن كلاً من حكومة جمهورية مصر العربية والولايات المتحدة
الأمريكية قد أبرمتا اتفاقية ثقافية في 21 مايو 1962 رغبة منهما في استمرار
العلاقات الصديقة والودية بين شعبي الولايات المتحدة الأمريكية وجمهورية مصر
العربية وفي تقويتها والعمل علي تعزيز روح ميثاق الأمم المتحدة .
وحيث إن الجامعة تعتبر معهدًا ثقافيًا يدخل في نطاق المـادة الأولي فقرة (د) من الاتفاقية
الثقافية المشار إليها وفي حكم المـادة الأولي من القانون رقم 52 لسنة 1970
وحيث إن الطرفين قد أبرما بروتوكول حول وضع وتنظيم الجامعة الأمريكية بالقاهرة في
13 نوفمبر 1975 (ويشار إليه بـ"البروتوكول") .
وحيث أصدر البروتوكول بجمهورية مصر العربية بموجب القرار الجمهوري رقم 146 لسـنـة
1976
وحيث يرغب الطرفان في تعديل المـادة السادسة من البروتـوكول بموجـب مذكـرة
التفـاهم هـذه .
لذلك ، فقد اتفق الطرفان فيما بينهما وتراضيا علي ما يلي :
مادة 1 اصدار
وُوفـق علي مذكرة تفاهم بين حكومة جمـهـــورية مصـــر العـــربية
ومجـلـس أمنـــاء الجامعة الأمريكية بالقـــاهرة بشأن تعديل المـادة الســادسة من
البروتوكول الموقع بين الطرفين بتاريخ 1975/11/13 حول وضع وتنظيــم الجــامعة
الأمريكية بالقاهرة ، والموقعة بتاريخ 2020/5/7 ، وذلك مع التحفظ بشرط التصديق .
صدر برئاسة الجمهورية في 21 ذي الحجة سنة 1441هـ
( الموافق 11 أغسطس سنة 2020م ) .

مادة رقم 1
أجزاء مذكرة التفاهم
يعتبر التمهيد السابق جزءًا لا يتجزأ من مذكرة التفاهم هذه ومكملاً ومتممًا
لبنودها وأحكامها .
مادة رقم 2
تعديل المادة السادسة
اتفق الطرفان علي تعديل المـادة السادسة من البروتوكول لتقرأ كالتالي :
"لا تهدف الجامعة الأمريكية بالقاهرة بوصفها معهدًا ثقافيًا إلي ربح مادي ،
وبناءً عليه فإن الحكومة المصرية اعترافًا منها بذلك توافق علي إعفاء جميع الأجور
والمرتبات التي تصرف خصمًا علي اعتماد PL 480 أو أية مصادر تمويل غير
محلية من الضرائب المحلية .
وعلي الجامعة أن تخصص سنويًا للحكومة المصرية 30 (ثلاثون) منحة دراسية كاملة
للطلاب المصريين الراغبين في الدراسة بمرحلة البكالوريوس من المدارس الحكومية مع
مراعاة جميع شروط وأحكام القبول المعمول بها لدي الجامعة وغيرها من المتطلبات
لديها ، وتتولي الوزارة المختصة بالتعليم العالي ترشيح الطلاب المحتملين للمنح
الدراسية" .
مادة رقم 3
أثر التعديل
103 تظل سائر مواد وأحكام البروتوكول سارية المفعول والنفاذ ، فيما عدا ما تم
تعديله صراحةً بمذكرة التفاهم هذه . تحكم مذكرة التفـــاهم هذه جميــع التعاملات
مع مصلحة الضرائب .
302 يسري هذا التعديل علي أية التزامات سابقة علي الجــامعة كما هو مذكور بمذكرة
التفاهم هذه .

اللغة السائدة
حررت مذكرة التفاهم هذه باللغتين العربية والإنجليزية ولكل من النصين ذات الحجية .
مادة رقم 5
تاريخ النفاذ
تدخل مذكرة التفاهم هذه حيز النفاذ بعد استكمال الحكومة المصرية الإجراءات القانونية
والدستورية اللازمة لذلك .
مادة رقم 6
نسخ مذكرة التفاهم
حررت مذكرة التفاهم هذه من أصلين بيد كل طرف أصل للعمل بموجبه .
وإثباتًا لمـا تقدم ، قام الطرفان بالتوقيع علي مذكرة التفاهم هذه كما يلي :

Memorandum of Understanding
THIS MEMORANDUM OF UNDERSTANDING (this "MoU")
dated and to be effective as of Thursday, May 7, 2020, is concluded by and
between:
1- The Government of the Arab Republic of Egypt,
represented in this MoU by Dr. Kamelia Sobhi in her capacity as the head of
cultural relations and missions (First Undersecretary) at the Ministry of
Higher Education and Scientific Research.
Hereinafter referred to as the "Egyptian Government"
2- The Board of Trustees of the American University in
Cairo, represented in this MoU by Richard A. Bartlett in his capacity as the
Chairman of the Board of Trustees.
Hereinafter referred to as the "AUC"
Hereinafter collectively referred to as "the Parties"
Preamble
Whereas, the Egyptian Government and the Government of the
United States of America concluded a Cultural Agreement on May 21, 1962, to
continue and strengthen the harmonious and cordial relations between the
peoples of the United States of America and the Arab Republic of Egypt and to
further the spirit of the Charter of the United Nations;
Whereas, AUC is considered to be a cultural institute
within the scope of Article I, Paragraph (d) of said Cultural Agreement and
within the provisions of Article 1, Paragraph (a) of Law No. 52 of 1970;
Whereas, the Parties concluded a Protocol concerning the
status and organization of the American University in Cairo on November 13,
1975, (the "Protocol");
Whereas, the Protocol was promulgated in Egypt by virtue
of the Presidential Decree No. 146 of 1976; and,
Whereas, the Parties hereby desire to amend Article 6 of
the Protocol;
Now, therefore, the Parties hereto do hereby agree as
follows:
Terms
( Article 1 )
Integration
The above Preamble is considered an integral part of this
MoU and has the same force of the Articles included herein.
( Article 2 )
Amendment of Article 6
The Parties agree to amend article 6 of the Protocol to
read as follows:
زThe American University in Cairo, as a cultural
institute, does not aim at material profit. The Egyptian Government, in
recognition of this, agrees that all national taxes on salaries and wages paid
from PL-480 funds or any other nonlocal funding sources shall be obviated.
On annual basis, AUC shall allocate 30 (thirty) full
undergraduate scholarships to the Egyptian Government, for Egyptian students
from public schools, subject to all AUC's applicable terms and conditions of
admissions and its other requirements. The Ministry responsible for the Higher
Education shall nominate the potential students for the scholarshipsس.
( Article 3 )
Effect of the Amendment
3.1 Except as expressly modified herein, all other terms
and conditions of the Protocol shall remain in full force and effect. This MoU
shall govern al dealings with the Tax Authority.
3.2 This amendment shall apply to any past obligations of
AUC as mentioned herein.
( Article 4 )
Prevailing Language
This MoU is drafted in Arabic and English languages, both
being authentic.
( Article 5 )
Effective Date
This MoU will enter into force after completing the
necessary legal and constitutional procedures by the Egyptian Government.
( Article 6 )
MoU Copies
This MoU is executed in two originals, one for each Party
to implement its terms.
IN WITNESS WHEREOF, the Parties have duly executed this
MoU by their respective duly authorized representatives.
For the Government of the Arab Republic of Egypt by Dr.
Camelia Sobhi in her capacity as the head of Cultural Relations and Missions
(First Undersecretary) at the Ministry of Higher Education and Scientific
